1. Acceptance of Terms
By creating an account, submitting payment, signing a proposal, or otherwise engaging ElevateCode Digital LLC for any product or service, you acknowledge and agree to these Terms in full. If you do not agree with any portion of these Terms, you must immediately discontinue use of our services. These Terms apply to all visitors, users, customers, agents, employees, and contractors acting on behalf of the Customer.
The person accepting these Terms represents and warrants that they have full legal authority to bind the company, organization, or entity they represent.
2. Subscription Services
By subscribing to any of our plans, you authorize ElevateCode Digital LLC and our payment processor to charge the recurring subscription fees associated with your selected plan on each billing cycle (monthly, quarterly, annual, or as otherwise specified at checkout).
All subscriptions automatically renew at the end of each billing cycle at the then-current rate unless properly canceled in accordance with the Cancellation Policy below. Promotional or introductory pricing applies only for the stated initial period; standard pricing applies on every renewal thereafter.
We reserve the right to modify pricing, plan features, or service inclusions at any time. Pricing changes will not affect the current billing cycle but will apply on the next renewal.
3. Cancellation Policy
Customers may cancel their subscription at any time. However, cancellation requests must be submitted at least 15 days before the next scheduled billing date to take effect for the upcoming cycle. Requests received within the 15-day window will take effect after the next billing cycle has been processed and charged.
Valid cancellations must be submitted in writing through the official customer portal, account dashboard, or by submitting a ticket to our support system. For audit and compliance reasons, cancellation requests sent through the following channels will NOT be accepted:
- Email (unless explicitly directed by support)
- Text Message (SMS)
- WhatsApp or any messaging application
- Direct messages on social media platforms
- Verbal or telephone communication
Failure to cancel correctly and on time will result in automatic renewal and the applicable charges being processed. No partial refunds, prorated credits, or cycle reversals will be issued for late cancellations, unused time, non-usage, or accidental renewal.
4. Refund Policy — All Sales Final
All payments made to ElevateCode Digital LLC are strictly final and non-refundable under any circumstance once processed.
This no-refund policy applies to, but is not limited to, the following categories of payments:
- Subscription fees (monthly, quarterly, annual, and lifetime)
- One-time setup, onboarding, and configuration fees
- Custom software development, design, or integration fees
- Monthly hosting, maintenance, and service charges
- SEO, marketing, advertising, and content service fees
- Add-on modules, premium features, and third-party license costs
- Consulting, training, and professional service hours
- Domain, SSL, infrastructure, and API/passthrough costs
Once a payment has been processed, no refunds, partial refunds, prorated credits, account credits, or charge reversals of any kind will be issued. This includes — but is not limited to — situations involving change of mind, delayed project go-live, non-usage, business closure, change of direction, dissatisfaction with results, or perceived underperformance after the customer has approved deliverables or accepted access to the platform.
Where work has been performed, hours have been allocated, third-party costs have been incurred, or access to proprietary software has been granted, the value of services rendered is considered to have been delivered in full.
5. Chargebacks and Payment Disputes
All payments are securely processed through our PCI-DSS compliant payment provider, Stripe (and/or other authorized processors). By submitting payment, you authorize the full agreed amount and waive the right to dispute valid, authorized charges.
If a customer initiates an unauthorized chargeback, payment dispute, or reversal through their bank, credit card issuer, or payment provider for charges that were properly authorized and represent services rendered, the customer agrees that the chargeback constitutes a breach of these Terms and agrees to remain fully responsible for:
- The original service charges in full
- A $75 administrative chargeback fee per dispute (or the actual fee imposed by the processor, whichever is greater)
- All bank fees, processor penalties, and collection agency costs
- All legal fees, court costs, and attorney fees incurred in recovering the outstanding balance, including any out-of-pocket expenses
- Interest on the unpaid balance at the lesser of 1.5% per month or the maximum rate permitted by law
ElevateCode Digital LLC reserves the right to immediately suspend or terminate all services, revoke software licenses, remove deliverables, withhold source code, and report the customer to credit bureaus and collection agencies while any chargeback or dispute is pending. We will vigorously defend all unjustified disputes with full transaction history, IP logs, communication records, delivery proof, and signed agreements.
6. Intellectual Property & Software License
All proprietary software, source code, dispatch engines, booking platforms, design templates, frameworks, APIs, and underlying technology developed, owned, or licensed by ElevateCode Digital LLC, Rheyan.com, and Taxi-WebDesign.com remain the exclusive intellectual property of the Company at all times.
Customers are granted a limited, non-exclusive, non-transferable, revocable license to use the software solely for the duration of an active, paid subscription. This license terminates immediately upon cancellation, non-payment, chargeback, or termination of services. Source code, server-side logic, and proprietary algorithms are never transferred to the customer unless explicitly stated in a separately signed source-code license agreement at additional cost.
Customer content (logos, copy, branding, customer data) remains the property of the Customer; however, the Customer grants ElevateCode Digital LLC a worldwide, royalty-free license to host, display, reproduce, and process such content as required to deliver the services and to feature the project (name, logo, screenshots) in our portfolio, case studies, and marketing materials unless the Customer opts out in writing.
7. Limitation of Liability & Warranties
All services and software are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, uninterrupted operation, or error-free performance.
To the maximum extent permitted by applicable law, in no event shall ElevateCode Digital LLC, its officers, directors, employees, contractors, affiliates, or partners be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, business opportunities, goodwill, or any other intangible losses arising out of or in connection with the services.
Our aggregate total liability under any and all theories of law, including contract, tort, negligence, or strict liability, shall not exceed the amount actually paid by the Customer to ElevateCode Digital LLC during the three (3) months immediately preceding the event giving rise to the claim. The Customer agrees to indemnify and hold harmless ElevateCode Digital LLC against any third-party claims arising from the Customer's use of the services, content uploaded, or violation of these Terms.
8. Service Suspension and Termination
ElevateCode Digital LLC reserves the right, at its sole and absolute discretion, to suspend, restrict, downgrade, or permanently terminate any account or service — without prior notice and without refund — for any of the following reasons:
- Non-payment, late payment, or failed payment method
- Fraudulent activity, identity misrepresentation, or money laundering
- Abuse, misuse, or excessive consumption of system resources
- Violation of any provision of these Terms or our Acceptable Use Policy
- Chargebacks, payment disputes, or refund requests with the bank
- Harassment, abuse, or threats toward our staff, contractors, or other clients
- Illegal activity, infringement of third-party rights, or regulatory non-compliance
- Activity that damages the reputation or security of our platforms
Upon termination, all access to software, dashboards, data exports, APIs, and hosted deliverables will be revoked immediately. Customers are responsible for exporting their own data prior to termination; ElevateCode Digital LLC is not obligated to retain or provide data after the account is closed.
9. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which ElevateCode Digital LLC is registered, without regard to its conflict-of-law provisions. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith written negotiation for a period of no less than thirty (30) days.
If the dispute cannot be resolved through negotiation, the parties agree to submit to binding arbitration conducted in English on an individual basis. Class actions, collective actions, and jury trials are expressly waived. The prevailing party shall be entitled to recover reasonable attorney fees and costs.
10. Changes to These Terms
ElevateCode Digital LLC reserves the right to update, modify, or replace any portion of these Terms at any time, at our sole discretion. The updated version will be posted on this page with a revised "Effective Date." Continued use of any service after such changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
12. Real-World Scenarios
The following examples illustrate how the Cancellation and Refund policies apply in common situations. They are provided for clarity only — the binding policies are the clauses above.
Subscription auto-renews and you forgot to cancel
Your monthly plan renews on the 1st. You remember on the 3rd and ask to cancel. Outcome: the current cycle is non-refundable and will run until the end of the month. We will mark the account to not renew on the next billing date.
You cancel less than 15 days before renewal
Renewal is on the 20th, you submit cancellation on the 10th (10 days before). Outcome: the upcoming renewal still processes because the 15-day window was missed. The cancellation takes effect after that cycle completes.
You cancel correctly, 15+ days in advance
Renewal is on the 30th, you submit a written cancellation through the customer portal on the 10th (20 days before). Outcome: the subscription will not renew. You keep full access until the end of the current paid cycle.
Annual plan — mid-year cancellation
You paid for 12 months upfront and want to stop after month 4. Outcome: the annual payment is non-refundable. You retain access for the remaining 8 months, after which the plan will not renew.
Setup or development fee, project not started yet
You paid a setup or custom development fee and then change your mind before work begins. Outcome: setup, onboarding, and development fees are non-refundable because slots, resources, and licenses are reserved at the time of payment.
You didn't use the service this month
You were on vacation, busy, or simply didn't log in. Outcome: subscriptions are sold for access to the platform, not for actual usage. Non-usage does not qualify for a refund, credit, or cycle extension.
You upgrade or downgrade mid-cycle
You move from a higher to a lower plan in the middle of a billing cycle. Outcome: the new price takes effect on the next renewal. The difference for the current cycle is not refunded or credited.
You file a chargeback instead of cancelling
Rather than cancelling through the portal, you dispute the charge with your bank. Outcome: service is suspended immediately, a $75 administrative fee plus the original amount, processor fees, and legal/collection costs become payable, and the account may be reported to collections.
